Underwriter Transactional Risk

Role overview
DUAL North America is seeking a proactive and detail-oriented Underwriter for the Transactional Risk division.
At DUAL, underwriters play a key strategic role in shaping the underwriting framework and expanding broker relationships. In this role, you will provide expertise in risk evaluation, manage new and renewal submissions, and support profitable portfolio growth.
In collaboration with the transactional risk team, you will be specializing in Representations and Warranties Insurance (RWI). This role involves underwriting bespoke RWI policies in connection with mergers and acquisitions (M&A), working closely with brokers, legal counsel, and internal stakeholders to deliver tailored insurance solutions in a fast-paced, deal-driven environment.
Role responsibilities
•Quote Development: Evaluate submissions for active private M&A transactions and prepare customized term sheets outlining proposed pricing and key underwriting considerations. Ensure timely delivery of quotes to brokers in accordance with deal timelines.
•Policy Negotiation & Execution: Lead the underwriting process upon selection of a quote. Collaborate with buyer’s counsel and advisors to review due diligence materials and negotiate policy terms. Draft tailored exclusions where due diligence gaps are identified.
•Due Diligence Review: Analyze target company materials including due diligence reports, confidential information memoranda, and iterations of the M&A agreement to assess risk and inform policy terms.
•Team Collaboration: Supervise and mentor analysts supporting the underwriting process. Provide guidance and feedback to ensure accuracy and professional development.
•Legal Liaison: Coordinate with DUAL’s deal counsel to review legal findings and incorporate feedback into underwriting decisions. Communicate relevant inquiries and clarifications to brokers and their clients.
•Relationship Management: Cultivate and maintain strong relationships with key brokers through regular communication, industry event participation, and strategic networking to support business development and deal flow.
•Travel may be required up to 25% or more as needed for the business for producer meetings and events as necessary.
•Underwriting Authority: Has Underwriting Authority per an assigned LOA.
Key requirements
•Bachelor’s degree in risk management, Finance, Business or a related field preferred
•Professional certifications like CPCU/AU or similar designations is a plus
•0-5 years underwriting experience
•Background in legal practice, M&A or corporate law; M&A-related roles in private equity, investment banking, or financial advisory; orinsurance roles with exposure to private equity or financial transactions is preferred
•Solid understanding of underwriting principles and risk assessment
•Strong analytical, negotiation and decision-making skills
•Excellent written, verbal and client-facing communication skills
•Proficiency in Microsoft Office Suite (Word, Excel, Outlook, PowerPoint)
•Ability to follow policies and procedures
•Self-motivated with strong attention to detail
•Comfortable working outside of the regular business hours, including evenings, weekends, and travel, to meet business demands.
•Must manage tasks and priorities with a high level of autonomy across various environments including planes, client sites, home offices, and traditional office settings
•Ability to travel up to 25% or more as required for client meetings, conferences, or industry events
