The opportunity:
We are seeking a dynamic and experienced Company Secretarial Assistant to join our team. The Company Secretarial Assistant will work closely with the Company Secretary to ensure that the company complies with statutory and regulatory requirements and maintains high standards of corporate governance.
Using your experience to work closely with senior stakeholders and the business, you will be an integral part to the smooth running of the day to day.
What you’ll be doing:
- Support Company Secretary with governance arrangements (including organising, attending and minuting meetings) for some subsidiary Boards and Committees.
- Responsible for administrative matters including maintaining and updating calendar invites, obtaining signatures and arranging notarisation of documents, paying invoices, making filings with Companies House, updating policies and documentation, updating and maintaining company secretarial software and electronic Board portal, responding to routine queries from the business and auditors relating to directorships, due diligence and other governance matters.
- Support Company Secretary with execution of specialist projects where required, including but not limited to mergers and acquisitions, share capital reductions, company wind ups, drafting governance resources, Board and Committee Effectiveness Reviews, Director onboarding and training.
Our must-haves:
- A proven history of effective minute-taking.
- Interest in governance related matters.
- Some Company Secretarial experience, preferably in an insurance or financial services firm.
- Strong written and spoken communication skills in the English language.
- Strong IT (Microsoft Office) skills including Word, Excel, Powerpoint and Outlook.
- Experience with Company Secretarial software such as Diligent Blueprint, and/orElectronic Board pack software.
- A high level of integrity and discretion at all times.
- A desire to and develop their skills and expertise in this role.
