Description
Convex US is looking for an experienced legal counsel to join our growing US team. You will need to be comfortable advising upon all types of insurance distribution and delegation agreements, regulatory and licensing issues and drafting policy forms and contract documents across varied lines of business for both insurance and reinsurance. The role will work closely with the Convex Legal Team based in London and the US Management Team and will be based in the Convex US Princeton, NJ Office and will be required to work in the office at least 3 days week.
Key Responsibilities
- To support the growth of the US Team as part of the broader Convex Legal Team
- To draft and negotiate new and existing policy forms
- To provide wordings, coverage expertise and support for business pitches
- To provide advice to underwriters on a range of coverage issues relating to insurance and reinsurance
- To work with the business on a wide range of matters or projects relating to policy forms, new products and lines of business and provision of new capacity
- To advise upon drafting and negotiation of TOBAs and other distribution agreements with coverholders, TPAs and capacity providers
- To provide advice to underwriters on licensing and regulatory issue
- To support the CEO and management team on strategic initiatives
- To support the business by monitoring, training and advising on legal developments and know-how
- To provide training on policies and procedures
- To communicate and negotiate with external parties (capacity providers, brokers, clients, TPAs, external counsel, regulators etc.), creating relations of trust
- To facilitate the regular and efficient flow of information between the US Team and the broader Convex Legal Team
Skills, Knowledge and Expertise
- Qualified attorney and licensed JD, ideally with experience in an in-house environment within the insurance sector
- Prior experience advising on:
- distribution and delegation agreements, ideally in an MGU or MGA setting
- US (federal and state) regulatory and licensing issues for intermediaries;
- policy forms and reinsurance contracts either in a general or line-specific capacity
- Familiarity with licensing and regulatory issues as they apply to MGUs / MGAs
- Excellent verbal and written communication skills with proven drafting experience
- Able to work independently and as part of a team
- Excellent knowledge and understanding of insurance law and regulation
- An understanding of the influences of the insurance market on the negotiation of agreements
- Ability to provide clear commercial advice which takes account of the risk appetite of the business
- High degree of professional ethics and integrity
- Sound judgement and ability to analyse swiftly complex matters and technical information
- Strong interpersonal and presentation skills, along with the ability to communicate effectively with others at all levels of the organisation
